Act as the primary legal authority for Vietnam office, ensuring compliance with all Vietnamese laws, regulations, and corporate policies.
Manage and ensure compliance with all local statutory requirements, including company filings, licenses, and permits.
Provide legal advice and support company on wide range of issues, including corporate law, labor law and regulatory compliance.
2. Corporate Governance:
Support company’s corporate governance for the Vietnamese entity and ensure all board resolutions, company filings, and other statutory matters are managed effectively.
Ensure that the Vietnamese office complies with MattenPlant’s regional and global corporate governance policies.
3. Regional Legal Support:
Provide legal support for cross-border operations across the Southeast Asia region, including contract negotiation, regulatory compliance, and legal risk management.
Collaborate with regional legal teams and external counsel to handle multi- jurisdictional legal matters, ensuring consistency across the group.
4. Contract Drafting and Negotiation:
Draft, review, and negotiate contracts, agreements, and other legal documents with customers, vendors, and partners in Vietnam and other regional entities.
Provide legal input to ensure contracts are aligned with company policy and regional laws while minimizing risks.
5. RiskManagementand Dispute Resolution:
Proactively identify and mitigate legal risks associated with company’s business activities.
o Manage any legal disputes or litigation in Vietnam and assist in resolving regional disputes, either directly or through external counsel.
6. Employment Law and HR Support:
Advise the HR department on labor law compliance in Vietnam and support regional HR teams with legal guidance related to employment matters.
Assist with resolving employee grievances and disputes in line with
Vietnamese labor laws.
Support HR department in labor regulation and labor agreement in Vietnam.
7. ExternalCounsel and Legal Resources Management:
Manage relationships with external law firms in Vietnam and other regional jurisdictions, ensuring cost-effective and high-quality legal services.
8. StrategicLegalAdvice:
Provide senior leadership with strategic legal advice and updates on potential legal risks, business impacts, and developments in legal frameworks across Vietnam and the region.
Job Requirement
Qualifications:
Bachelor’s degree in law or equivalent.
At least 5-8 years of legal experience, preferably in corporate or commercial law.
Experience in the manufacturing or industrial sector is a plus.
Experience in providing legal support in a regional or cross-border context is a plus.
Requirement:
Strong knowledge of Vietnamese law, including corporate, commercial, and labor regulations, and a working knowledge of legal frameworks in Southeast Asia.
High ethical standards and integrity.
Strong attention to detail and organization skills.
Ability to work independently, manage multiple tasks and work under pressure.
Proficient in Vietnamese and English (written and spoken) is required.
