Assist all legal matters in operation for Highlands Coffee
Support in providing legal advice and legal support for other departments (i.e., Expansion, Marketing, Procurement, Finance, HR, etc.) regarding compliance with the company’s commercial and business, and in accordance with applicable regulations
Draft, review and negotiate (if so required, as the case maybe) various contracts, including lease contracts, supplier’s contracts, service contracts, construction contracts (Fidic and non-fidic), etc.
Support in legal research for particular issues as requested by relevant departments.
Research and update new regulations to the line manager and relevant departments.
Carry out and support licensing procedures at relevant competent authorities.
Corporate governance:
Maintain and ensure corporate governance of Highlands Coffee to comply with all governance standards; to ensure the SOP, policy, internal transactions of the Company to comply with its charter and applicable laws.
Franchise, IP and trademark of Highlands Coffee:
Monitor the effectiveness of Highlands Coffee's trademarks;
Advise, assist and handle infringements relating to Highlands Coffee's trademarks, franchise/license, IP, data protection, ect.
Corporate initiatives:
Assist in reviewing, preparing data and carrying necessary procedures for fundraising transactions, including: legal due diligence, KYC, registration of foreign loans at SBV, NRAST registration, CPs documents, managing and controlling executed transaction documents.
Job Requirement
Education:
Graduated with honors or a good degree.
Experience:
At least 2 years of experience working for law firms.
Experience in working with or representing multinational corporations (MNCs) or foreign-invested enterprises (FIEs)
Strong knowledge and understanding of civil law, enterprise law, and commercial law
