1. Participation in Shareholders' Meetings and Board of Directors' Meetings:
- Attend Shareholders' General Meetings and Board of Directors' meetings as a legal representative.
- Draft, record, and prepare minutes of the meetings, ensuring they comply with legal and regulatory requirements.
- Provide legal guidance during meetings to ensure corporate governance and compliance with relevant laws.
2. Corporate Legal Affairs:
- Advise on internal legal matters related to corporate governance, company policies, and regulations.
- Draft, review, and update legal documents, including contracts, policies, and internal procedures, ensuring compliance with local laws and regulations.
- Support in the preparation of annual reports and other legal documents required by authorities or stakeholders.
3. Compliance and Corporate Governance:
- Ensure the company complies with applicable corporate laws, listing requirements, and any regulations relevant to public companies.
- Monitor changes in laws and regulations affecting the company's business, ensuring timely updates and implementations.
- Assist in managing shareholder relations from a legal perspective, including the drafting of communication with shareholders regarding legal obligations.
4. Internal Legal Operations:
- Handle internal legal issues within the company, providing legal opinions and recommendations to management.
- Cooperate with other departments to implement legal strategies, minimize risks, and resolve disputes or compliance issues.
- Coordinate with external legal counsel when required.
5. Other Legal Responsibilities:
- Assist in legal due diligence, mergers and acquisitions, or other corporate legal matters as directed by the Head of Legal Department.
- Support in managing the company’s intellectual property, licenses, and permits.
- Represent the company in legal proceedings when necessary.
- Bachelor's degree in Law or equivalent.
- At least 3-5 years of experience in corporate legal roles, preferably in a public company.
- Strong knowledge of corporate law, securities law, and regulations affecting publicly listed companies.
- Knowledge of electricity and project law is an advantage
- Excellent communication skills, both verbal and written in English
- Ability to work under pressure and handle multiple tasks simultaneously.
- Detail-oriented with excellent organizational and analytical skills.
