Job Description:
a. Legal Compliance:
Ensure company policies, procedures, and business activities comply with local, national, and international laws.
Monitor regulatory changes and assess their impact on business operations.
Develop and implement internal legal policies and procedures.
Conduct periodic audits to ensure compliance with laws and regulations. .
b. Contract Management:
Draft, review, and negotiate contracts, agreements, and other legal documents to protect company interests.
Standardize contract templates for vendors, customers, and employees.
Ensure all contracts align with corporate policies and legal requirements.
Maintain a contract management system to track contract terms, renewals, and obligations .
c. Legal Risk Management:
Identify legal risks across different business functions and propose risk-mitigation strategies.
Advise leadership on potential legal implications of business decisions.
Develop policies and frameworks to minimize legal exposure.
Handle internal legal disputes before they escalate into litigation .
d. Regulatory Affairs & Government Relations:
Act as the primary point of contact with government agencies and regulatory bodies.
Handle licensing, permits, and regulatory filings.
Advocate for favorable regulatory policies by engaging with industry associations and legal networks.
Provide legal support in company mergers, acquisitions, and restructuring
e. Dispute Resolution & Litigation:
Manage and oversee litigation, arbitration, and alternative dispute resolution (ADR).
Liaise with external legal counsel for court cases, regulatory investigations, and compliance matters.
Represent the company in legal proceedings, hearings, and negotiations.
Ensure proper legal documentation and evidence collection to support the company’s position.
f. Employment & Labor Law Compliance:
Advise HR on labor laws, employee rights, and workplace policies.
Ensure employment contracts, terminations, and disciplinary actions comply with legal standards.
Address employee disputes, labor inspections, and union-related matters.
Support diversity, inclusion, and workplace ethics initiatives.
g. Intellectual Property (IP) & Data Protection
Ensure the protection of company intellectual property, including trademarks, patents, copyrights, and trade secrets.
Oversee data privacy and cybersecurity compliance with relevant regulations (e.g., GDPR, local data protection laws).
Review and draft policies on data usage, confidentiality, and information security
h. Internal Legal Training & Awareness
Conduct training sessions for employees on key legal topics, such as contract management, compliance, anti-bribery, and ethics.
Develop legal awareness programs to ensure employees understand regulatory responsibilities.
Create guidelines and FAQs for business units on common legal issues
i. Ethics & Integrity
Promote a strong ethical culture within the company by ensuring legal integrity in all business dealings.
Implement and enforce corporate policies on anti-corruption, fraud prevention, and conflict of interest.
Investigate legal and ethical complaints, ensuring fair resolutions
j. Data Protection & Compliance with ND 13/2023/NĐ-CP
Ensure compliance with Vietnam's Decree 13/2023/NĐ-CP on Personal Data Protection (DPA ND13).
Coordinate with relevant departments (IT, HR, Operations) to implement technical and organizational measures for personal data protection.
Advise on data processing activities, including obtaining consent, cross-border transfers, data subject rights, and retention periods.
Review contracts and third-party agreements to ensure data protection clauses are aligned with legal requirements.
Act as the company’s legal focal point on data privacy issues and work with DPO (if assigned) to prepare documentation, risk assessments, and responses to regulatory inspections or incidents.

Bachelor’s degree in Law-related majors, especially commercial Law. Possession of the Certificate issued by the Ministry of Justice to work as a professional lawyer is a plus.
Minimum 7–10 years of legal experience, ideally in the service or consulting sector. At least 3 years in a managerial role.
Strong expertise in Vietnam Labor Code and employment regulations is a must
