Legal and Compliance Executive (Senior)

1/  Contract and Advisory:

• Standardized Contract Template Management: Assist in developing, reviewing, and maintaining standardized contract templates to ensure legal compliance, operational efficiency, and alignment with business needs across jurisdictions. Regularly update templates to reflect regulatory changes, business feedback, and best practices.
• Contract Preparation, Negotiation and Management: Support the drafting, review and negotiate wide range of contractual agreements, from standard templates to customized contracts. Providing comprehensive contract management support, including conflict resolution, legal advisory, contract renewal, and redrafting.
• Comprehensive Legal Advisory Services: Providing the Company and its related entities on a wide range of legal advices for commercial matters as well as other specialized matters, including corporate, litigation, employment, tax, intellectual property, real estate, and environmental law, etc..
• Cross-Functional Legal Support and Risk Assessment: Under instruction from line manager, providing legal support and risk assessment to the various business functions, including finance, marketing, operations, and HR. Working closely with the businesses to ensure that appropriate risk management procedures are in place to cover contractual risk management

2/ Legal Update:

• Regulatory Monitoring and Impact Assessment: Proactively monitor changes in applicable laws and regulations, assess their impact on the Company's business operations, and report material developments to the Group Legal and Compliance Manager, relevant BUs, and the BOD in a timely manner.
• Legal Update Dissemination: Prepare and distribute concise legal update summaries to internal teams on a regular basis, ensuring all relevant stakeholders are informed of regulatory changes that may affect their day-to-day operations.

3/ Compliance Matters Support:

• Compliance Review Implementation: Assisting in implementing a compliance review/audit process to help ensure business activities comply with local laws and regulations.
• Compliance Documents Management: Supporting the collection and maintenance of a central repository of legal and compliance documents.
• Compliance Reporting Support: Assisting in preparing audit reports, supporting compliance risk assessments, and tracking the implementation of corrective action plans if required.
• Data Privacy: Assisting the Group Legal and Compliance Manager in ensuring the Group’s compliance with applicable data privacy laws and regulations in Vietnam (e.g., GDPR, PDPA, PLPL, guiding applicable decrees) through the development, implementation, and oversight of data protection policies, training, and risk mitigation measures.
